Ai sensi dell’art. 7 del C.P., i soggetti cui si riferiscono i dati personali hanno il diritto in qualunque momento di ottenere la conferma dell’esistenza o meno dei medesimi dati, di conoscerne il contenuto e l’origine, verificarne l’esattezza o chiederne l’integrazione, l’aggiornamento o la rettificazione, chiederne la cancellazione, la trasformazione in forma anonima o il blocco dei dati trattati in violazione di legge, nonché di opporsi in ogni caso, per motivi legittimi, al loro trattamento. Le richieste in questione vanno rivolte al titolare del trattamento.

B. GENERAL CONDITIONS OF SALE

(i)General Provisions: these General Conditions of Sale (GCS) have been drawn up in order to be applied to any and all offers, quotations, sales and agreements  of Piera Martellozzo S.p.A.’s (hereinafter referred to as “Seller”) wines (hereinafter referred to as “Products”) with registered offices in San Quirino,  Pordenone, Italy, Via Pordenone, 33 to Purchaser/s  (any physical or juridical person who is not a consumer pursuant to art. 3 of the Italian Consumer’s Code – Legislative Decree  No. 206 of 6 September 2005), save as for any expressed exceptions agreed upon in writing by the contracting parties hereto (hereinafter, jointly referred to as Parties).  

(ii)Orders: orders of Products gathered by Seller’s agents and/or representatives shall be forwarded to Seller exclusively by mail to the following email address: export@martellozzo.com.  The offering of catalogues or price lists by Seller does not constitute a formal offering to the public.  As such, Seller shall be free to change the terms of the sale at any time and without prior notice.  By placing an order,  Purchaser declares that it has taken note and is aware of the GCS and accepts and acknowledges to be bound by the same towards the Seller.  Seller is  entitled to accept or reject the order of Products, in full or in part.  The order is deemed accepted expressly when the Seller sends a written acceptance, if any.

The order of Products is deemed tacitly accepted when Seller delivers the ordered Products to Purchaser.  For the purpose of art. 62 of Law Decree No. 1 dated 24/12,  delivery notes and invoices issued by the Seller shall include the following wording: “Assolve agli obblighi di cui all’articolo 62, comma 1, Decreto Legge dated 24/01/12 No. 1, convertito, con modifiche, dalla Legge 24/03/12, n. 27”.  

Seller is entitled to suspend and/or cancel, either fully or partially, the processing of the orders, when their processing is rendered impossible or made too burdensome by unforeseeable problems and independent of his will, such as, for example, strikes, fires, wars, interruptions to the energy supply, earthquakes, floods or when Seller does not have Products in stock due to poor grape harvesting or for any other reason beyond Seller’s control or when Purchaser becomes insolvent, undergoes into receivership, bankruptcy or the like.  

It is understood that any delivery date indicated in the orders shall merely be considered to be indicative and not of the essential.  In particular, a delayed delivery within 30 days exceeding that original date shall not entitle Purchaser to terminate the agreement and shall not entitle the latter to any request of damages, regardless of its nature.

(iii) Delivery terms – Complaints: unless agreed otherwise, the sale is understood to be made Ex-works, (Incoterms 2010), via Pordenone, 33 – 33010 San Quirino, Pordenone, Italy; and this occurs even when it has been agreed that the consignment or a part of the same is dealt with by Seller.  

Unless Seller explicitly accepts different conditions in writing (i) the risk of loss or damage to Products shall be transferred to Purchaser when Seller delivers Products to the carrier, suitably packaged for transportation, (ii) Seller shall not be bound to provide insurance cover for Products sent, (iii) any provisions adopted by Seller, on Purchaser's request, with carriers or shipping agents, with reference to the consignment, shall be exclusively carried out on behalf of Purchaser and exclusively at the expense and risk of the latter; moreover (iv) the shipping agent appointed for said consignment shall be considered to be the sole party appointed by Purchaser, to all effects. 

Any complaints relative to Products' state of packaging, quantity, number or exterior characteristics, must be brought immediately to the attention of the carrier in the pertinent transportation documentation (delivery note) and then promptly sent to Seller by registered mail, email in order to avoid forfeiting his rights in merit, within seven (7) days from receipt of the Products.  After signing the delivery note Purchaser shall not be entitled to any claims regarding the quantity or external characteristics of delivered Products.  

Seller shall not be held responsible for any defects which are attributable to Purchaser’s negligence, to the latter’s storage conditions. 

It is understood that any complaints or disputes shall not entitle Purchaser from suspending or, in any case, delaying payment of Products, subject to dispute, nor least of all, payment of other supplies.

(iv)Payment terms: payment of Products shall be made in compliance with the terms and conditions indicated in the order and/or invoice.  Upon the expiry of the agreed payment term, Purchaser shall be obliged to pay Seller default interest at the interest rate indicated in the Article 22 of Italian Law No. 28 dated 18/02/99 .  Excepting where agreed otherwise, Seller's prices for Products shall be those listed in the price list in force when the order of Products was made. 

Should Purchaser be in breach of its payment obligation, Seller shall be entitled to suspend partially or entirely the performance of any existing sale contracts and may, at his own discretion, revoke the payment terms agreed upon with the consequence that any existing credits shall be immediately payable.

(v)Retention of title: Products supplied shall remain at Seller's property until the latter has received full payment thereof.  Purchaser is obliged to assist Seller in those measures that the latter wishes to adopt in order to protect his rights over Products supplied.  If and when third parties intend establishing or claiming a right over Products, Purchaser must immediately inform Seller, failing which Purchaser shall compensate the damages suffered for such non compliance.

(vi)Warranty for defects: Seller warrants that Products comply with applicable provisions on production and storage legislation.  Any liability for defective Products is disciplined by the Italian Civil Code.  No Product whatsoever may be returned by Purchaser unless he has received Seller' written authorisation to do so.  The transportation costs incurred by Products that Purchaser has declared as being defective or lacking in quality or conformity shall be charged to Purchaser.  No Product whatsoever may be returned by Purchaser unless he has received Seller' written authorisation to do so.

(vii)Intellectual Property: Unless otherwise agreed, Seller is the owner of all intellectual property rights, including without limitation all  trademarks, design rights, tradenames, patents, patentable processes  and symbols connected to Products (the “Marks”).  Purchaser shall use the Marks for the sole purpose of identifying, selling and advertising Products and in using the Marks, he shall conform to any prescription given in such respect by Seller.

(viii)Applicable Law:  Any matter regarding Seller’s Sales Agreement which has not been explicitly or implicitly ruled by these General Conditions of Sale or by any specific conditions agreed upon by the contracting parties shall be exclusively governed by Italian Law with the explicit exclusion of the provisions of the United Nations Convention on the International Sale of Goods (The Vienna Convention, 1980).

(ix)Competent Court:  any dispute arising out of this Sale Agreement or connected to the same or in any way related to Products, shall be exclusively submitted to the Court of Pordenone, Italy; however, in exception of that which has been established foregoing hereto, Seller is always entitled to have the dispute submitted to the competent Judge, where Purchaser has his registered office.  In the event of any action to enforce rights under this Agreement, the prevailing party shall be entitled its costs and expenses, including reasonable attorney’s fees, incurred in connection with such action. 

(x)Final Clauses: any amendments or integrations to these GCS shall only be held valid if agreed in writing.  Any eventual partial or total invalidity of a clause contained in these GCS shall not lead to the invalidity of the entire clause or the General Conditions of Sale themselves.  Purchaser expressly acknowledges that any sale agreement governed by the GCS follow comply with the principles of fairness, proportionality and reciprocity of obligations.

(xi)Privacy: any personal data of Purchaser shall be kept for the performance of this Sale Agreement only, in compliance with art. 10 Italian Law No. 675/1996.  Seller undertakes to not disclose such data for any different purposes.
